CORUS ENTERTAINMENT ANNOUNCES CLOSING OF ITS OFFERING OF SENIOR NOTES

TORONTO, May 11, 2021Corus Entertainment Inc. (“Corus”) (TSX: CJR.B) announced today that it has closed its previously announced offering (the “Offering”) of C$500 million aggregate principal amount of 5.000% senior unsecured notes due May 11, 2028 (the “Notes”).

The Offering was announced on April 23, 2021. The Notes were offered through an underwriting syndicate led by RBC Capital Markets, TD Securities and Scotiabank, as joint bookrunners.

Corus intends to use net proceeds of the Offering to repay a portion of the outstanding indebtedness under its credit facilities.

The Notes were conditionally offered for sale in Canada on a private placement basis pursuant to certain prospectus exemptions. The Notes have not been registered under the United States Securities Act of 1933, as amended (the “U.S. Securities Act”) or any state securities laws, and were offered in the United States only to qualified institutional buyers in reliance on Rule 144A under the U.S. Securities Act and applicable state securities laws and outside the United States in offshore transactions in reliance on Regulation S under the U.S. Securities Act.
